第一條 中外合資經(jīng)營企業(yè)(以下簡稱合營企業(yè))處理勞動管理問題,除《中華人民共和國中外合資經(jīng)營企業(yè)法》第六條第二款已有規(guī)定者外,都按照本規(guī)定辦理。
第二條 合營企業(yè)職工的雇傭、解雇和辭職,生產(chǎn)和工作任務(wù),工資和獎懲,工作時間和假期,勞動保險和生活福利,勞動保護,勞動紀律等事項,通過訂立勞動合同加以規(guī)定。
勞動合同,由合營企業(yè)同本企業(yè)的工會組織集體地簽訂;規(guī)模較小的合營企業(yè),也可以同職工個別地簽訂。
勞動合同簽訂后,須經(jīng)省、自治區(qū)、直轄市人民政府勞動管理部門批準。(注:本條規(guī)定已經(jīng)失效。現(xiàn)在執(zhí)行的是1988年5月5日國務(wù)院辦公廳轉(zhuǎn)發(fā)勞動部、人事部關(guān)于進一步落實外商投資企業(yè)用人自主權(quán)意見的通知中的第一條規(guī)定。)
第三條 合營企業(yè)職工,或者由企業(yè)所在地的企業(yè)主管部門、勞動管理部門推薦,或者經(jīng)勞動管理部門同意后由合營企業(yè)自行招收,都需由合營企業(yè)進行考試,擇優(yōu)錄用。
合營企業(yè)可以舉辦技工學校和訓練班,培訓管理人員和技術(shù)工人。
第四條 合營企業(yè)對于因生產(chǎn)、技術(shù)條件發(fā)生變化而多余的職工,經(jīng)過培訓不能適應要求、也不宜改調(diào)其他工種的職工,可以解雇;但是必須按照勞動合同規(guī)定,由企業(yè)給予補償。
被解雇的職工,由企業(yè)主管部門或勞動管理部門另行安排工作。
第五條 合營企業(yè)對于違反企業(yè)規(guī)章制度、造成一定后果的職工,可以根據(jù)情節(jié)輕重,給予必要的處分。開除處分,必須報請企業(yè)主管部門和勞動管理部門批準。(注:本條中關(guān)于“開除處分,必須報請企業(yè)主管部門和勞動管理部門批準”的規(guī)定已經(jīng)失效。現(xiàn)在執(zhí)行的是1984年1月19日經(jīng)國務(wù)院同意,由勞動人事部發(fā)布的《中外合資經(jīng)營企業(yè)勞動管理規(guī)定實施辦法》中的第十條規(guī)定。)
第六條 合營企業(yè)解雇、處分職工,工會認為不合理的,有權(quán)提出異議,并派代表同董事會協(xié)商解決;協(xié)商不能解決的,按照本規(guī)定第十四條的程序辦理。(注:本條規(guī)定已經(jīng)失效?,F(xiàn)在執(zhí)行的是1988年5月5日國務(wù)院辦公廳轉(zhuǎn)發(fā)勞動部、人事部關(guān)于進一步落實外商投資企業(yè)用人自主權(quán)意見的通知中的第五條。)
第七條 合營企業(yè)職工因有特殊情況,按照勞動合同規(guī)定,通過工會向企業(yè)提請辭職的時候,企業(yè)應予同意。
第八條 合營企業(yè)職工的工資水平,按照所在地區(qū)同行業(yè)的國營企業(yè)職工實得工資的百分之一百二十到一百五十確定。
第九條 合營企業(yè)職工的工資標準、工資形式、獎勵、津貼等制度,由董事會討論決定。
第十條 合營企業(yè)提取的職工獎勵和福利基金,必須用于對職工的獎勵和集體福利,不得挪作他用。
第十一條 合營企業(yè)必須按照國營企業(yè)標準,支付中方職工勞動保險、醫(yī)療費用以及國家對職工的各項補貼。
第十二條 合營企業(yè)外籍職工的雇傭、解雇、辭職、報酬、福利和社會保險等事項,都應當在雇傭合同中規(guī)定。
第十三條 合營企業(yè)必須執(zhí)行中國政府有關(guān)勞動保護的規(guī)章制度,保證安全生產(chǎn)和文明生產(chǎn),中國政府勞動管理部門有權(quán)監(jiān)督檢查。
第十四條 合營企業(yè)發(fā)生的勞動爭議,首先由爭議雙方協(xié)商解決;通過協(xié)商不能解決的,可以由爭議的一方或雙方向所在省、自治區(qū)、直轄市人民政府勞動管理部門請求仲裁;如有一方不服仲裁裁決,可以向人民法院提起訴訟。
第十五條 本規(guī)定的解釋權(quán)屬于中華人民共和國國家勞動總局。
第十六條 本規(guī)定自發(fā)布之日起施行。

PROVISIONS ON LABOUR MANAGEMENT IN CHINESE-FOREIGN EQUITY JOINTVENTURES(Promulgated by the State Council on July 26, 1980)Article 1Labour management problems concerning Chinese-foreign equity jointventures (hereinafter referred to as "joint ventures") shall all behandled in accordance with these Provisions, in addition to the pertinentstipulations in Article 6 of the Law of the People's Republic of China onChinese-Foreign Equity Joint Ventures.Article 2Matters pertaining to employment, dismissal and resignation of the workersand staff members, tasks of production and other work, wages and awardsand punishment, working time and vacation, labour insurance and welfare,labour protection and labour discipline in joint ventures shall bestipulated in the labour contracts signed.A labour contract is to be signed by a joint venture and the trade unionorganization in the joint venture collectively. A relatively small jointventure may sign contracts with the workers and staff membersindividually.A signed labour contract must be submitted to the labour managementdepartment of the government of the province, autonomous region ormunicipality directly under the Central Government for approval.Article 3 [*1]The workers and staff members of a joint venture either recommended by theauthorities in the locality in charge of the joint venture or the labourmanagement department, or recruited by the joint venture itself with theconsent of the labour management department, shall all be selected by thejoint venture through rigorous examinations. Joint ventures may runworkers' schools and training courses to train managerial personnel andskilled workers.Article 4With regard to the workers and staff members who become redundant as aresult of changes in production and technical conditions of the jointventure, those who fail to meet the requirements after training and arenot suitable for other jobs in the joint venture can be discharged.However, this must be done in accordance with the stipulations in thelabour contract and the enterprise must give compensation to theseworkers. The dismissed workers and staff members will be assigned toother jobs by the authorities in charge of the joint venture or the labourmanagement department.
Article 5 [*2]The joint venture may, according to the degree of seriousness of the case,take action against those workers or staff members whose violation of therules and regulations of the enterprise has resulted in certain badconsequences. Punishment by discharge must be reported to the authoritiesin charge of the joint venture and the labour management department forapproval.Article 6 [*3]With regard to the dismissal and punishment of workers and staff membersby the joint venture, the trade union has the right to raise objections ifit considers them unreasonable, and send representatives to seek asolution through consultation with the board of directors. Should theconsultation fail to arrive at a solution, the matter shall be handled inaccordance with the procedures set forth in Article 14 of theseProvisions.Article 7When workers and staff members of a joint venture, on account of specialcircumstances, submit their resignation to the enterprise through thetrade union in accordance with the labour contract, the enterprise shallgive its consent.Article 8The pay levels of workers and staff members in a joint venture shall bedetermined at 120-150% of the real wages of workers and staff members ofstate-owned enterprises of the same trade in the locality.Article 9The wage standards, the forms of payment, and bonus and subsidy systemsare to be discussed and decided by the board of directors.Article 10The rewards and welfare funds drawn by the joint venture from the profitsmust be used as rewards and collective welfare and shall not be divertedto other uses.Article 11A joint venture must pay for the Chinese workers' and staff members'labour insurance, cover their medical expenses and various kinds ofgovernment subsidies in the line with the standards obtaining in state-owned enterprises.Article 12The employment of foreign workers and staff members and their dismissal,resignation, pay, welfare and social insurance and other relevant mattersshall all be specified in the employment contracts.
Article 13Joint ventures must implement the relevant rules and regulations of theChinese Government on labour protection and ensure safety in productionand civilized production. The labour management department of the ChineseGovernment has the right to supervise and inspect their implementation.Article 14Labour disputes occurring in a joint venture shall first of all be solvedthrough consultation by the two parties. If consultation fails to arriveat a solution, either party or both parties may request arbitration by thelabour management department of the people's government of the province,autonomous region or municipality directly under the Central Governmentwhere the joint venture is located. Either party that disagrees to thearbitration award may file a suit at a people's court.Article 15The right of interpretation of these Provisions resides in the StateBureau of Labour of the People's Republic of China.Article 16These Provisions shall come into force as of the date of promulgation.Notes:[*1] The provisions of this Article are no longer effective. The relevantprovisions now in force are those contained in Article 1 of the Circulartransmitted by the General Office of the State Council on May 5, 1988,Concerning the Proposals on Further Implementation of Decision-MakingPower in Employment of Personnel by Enterprises with Foreign Investment,submitted by the Ministry of Labour and the Ministry of Personnel.[*2] The provision "Punishment by
